A rejigged deal will see embattled mid tier St Barbara (ASX:SBM) sell its flagship Leonora gold assets to Genesis Minerals (ASX:GMD) for ~$600m in cash and shares.
The previous deal announced in December would’ve seen a merger to create 300,000ozpa Leonora powerhouse ‘Hoover House’ (SBM 38%, GMD 41%, new cap raise 22%).
SBM’s struggling Atlantic (Canada) and Simberi (PNG) operations would be spun out into NewCo Phoenician Metals (SBM 80%, GMD 20%).
But a string of poor production numbers from SBM – one of the few miners not the rerate in the recent strong gold price environment – sent both companies back to the table.
The new deal is now a direct buyout of the Leonora assets by Raleigh Finlayson-led GMD, which will pay $370m cash and 147.8m GMD shares valued at $170m (based on GMD price of $1.15/sh) upfront.
SBM will receive an extra $60m shares if the 1.7Moz “pit without peer” Tower Hill deposit comes online in 2-3 years’ time.
SBM will own ~15% of GMD on completion, extinguish a bunch of debt, and keep 100% of 50,000ozpa Atlantic and 80,000ozpa Simberi.
It will also retain a cumulative $25m worth of shares in juniors Catalyst Metals, Kin Mining and Peel Mining.
Which seems like a pretty good deal, based on the recently downgraded guidance for Leonora of 130-135,000ozpa at *retracted* all in sustaining costs (AISC) due to “lower than anticipated mining rates and resource model underperformance”.
The ageing, 1.7km deep Gwalia was once SBM’s Leonora jewel and one of Australia’s best performing gold mines, but no longer. The (potentially eyewatering) retracted AISC will be released with March quarterly, due in the next week or so.
(Gwalia is almost 130 years old. It was originally established 1896 as the Sons of Gwalia mine, with Herbert Hoover — who went on to become the 31st President of the United States — on the record as its first mine manager.)
Meanwhile Atlantic and Simberi are doing better, with guidance maintained and AISC falling at both.
The new deal sees SBM shareholders receiving a reduced percentage of the combined Leonora assets, but this is largely offset by the $110m of additional cash, and 100% shareholding in the residual SBM business, outgoing SBM chair Tim Netscher says.
“The board believes the transaction value from the sale of the Leonora assets represents fair value for our shareholders, who will now own a well-capitalised, debt-free business, with a portfolio that has significant potential, and the people and resources in place to realise its true potential,” Netscher says.
“Simberi and Atlantic have combined 5.9Moz in Mineral Resources and 3.5Moz in Ore Reserves and provide a solid foundation for the business.”
“The exposure of St Barbara shareholders of up to ~19.5% of Genesis post acquisition (15.2% excluding contingent consideration), will also allow St Barbara’s shareholders to directly benefit from the combination of St Barbara’s and Genesis’ assets in the Leonora region,” he says.
A $470m cap placement has been launched by GMD to fund the acquisition at $1.15/sh. This is a 4.5% premium to the closing price of GMD shares, but marginally below the $1.20/sh, $275m offering announced late last year.
GMD has blazed a trail of acquisitions around Leonora since former Saracen MD Finlayson cornerstoned a $20m raise at 6c per share in September 2021 (this was prior to a 10 for 1 consolidation in October 2021).
The question now is whether GMD’s star-studded leadership team can turn these struggling operations around to create a leading Australian mid-tier.
In arvo trade GMD was trading up 10%, while SBM was down 5%.

Is this a good deal for shareholders?
The deal reflects the deterioration over recent months in both SBM’s financial and operational position, says MineLife founding director & senior resource analyst Gavin Wendt.
“Genesis is now firmly calling the shots, and the deal is the best outcome for both sets of shareholders,” he told Stockhead.
RM Corporate finance director Guy Le Page says GMD’s purchase of SBM’s Leonora operations is a master stroke in regional consolidation that will see an additional 1.4Mtpa in processing capacity for GMD with a pathway to 300Koz of gold per annum.
“I think this makes a lot more sense than a merger with SBM that would have seen second tier assets (Atlantic and Simberi) form part of the GMD portfolio (as well as significant integration costs). Hoover House may well have become the House of Pain for GMD,” he told Stockhead.
“SBM was looking over the cliff with high levels of gearing courtesy of $185 million in debt, negative cash flow of $60 million for the 1H FY 2023 and a monster $407 million loss mostly attributable to a non cash impairment of its Canadian gold operations at Atlantic.
“While Leonora represented about 40% of the value of SBM, the company avoids breaching its lending covenants and its shareholders will participate in around 15% of GMD. So SBM lives on, a little bruised and at considerable cost, however GMD will likely be perceived as the real winner in my view.”
How did other ASX gold stocks perform yesterday?
A rough day as the gold price came agonisingly close to record highs (~US$2070/oz) late last week before pulling back to US$2017/oz.
Most gold miners were down Monday, with Regis Resources (ASX:RRL) sinking 12% after a guidance update.
While full-year production guidance of between 450k–470koz is close to the previously predicted 450-500koz, AISC has ballooned from $1,525-$1,625/oz to $1,795-$1,845/oz.
Meanwhile, low cost producer Perseus Mining (ASX:PRU) says the advanced Meyas Sand gold project in northern Sudan is untouched by civil war in Sudan’s capital city Khartoum, 1000km away.
“We are monitoring the situation very carefully and are prepared to act if necessary,” managing director and CEO Jeff Quartermaine says.
To the end of February 2023, Perseus had invested ~US$23 million in MSGP, preparing for a possible Final Investment Decision (FID) on MSGP in the second half of CY2023.
That makes it a relatively small part of the PRU portfolio, which is centred on Ghana and Cote d’Ivoire, Quartermaine says.
“All of our gold production activities that currently deliver more than 500,000 ounces of gold per year at an AISC of less than US$1,000 per ounce, take place in West Africa, specifically, Ghana and Cote d’Ivoire which are not in any way impacted by the reported events,” he says.
“Perseus will publish our March 2023 Quarter report on Wednesday 19 April 2023, that will indicate that the company is in very good shape and continues to deliver material benefits to all of our stakeholders.”

Gold price is consolidating, US$2400/oz still the target
Over the weekend, Chris Rutherglen from Gold Investor Research reinforced his price target of US$2200-$2400 for this intermediate cycle.
“We expect the consolidation will continue until the next major catalyst event which is the FOMC announcement on May 3,” he says.
This could be the last rate hike of the cycle, Rutherglen says. Commentary in the Fed’s accompanying statement could send the gold price to all-time highs.
“During the prior interest rate cycle in 2019, the gold price was at the upper-edge of its consolidation range going into the June 19, 2019 FOMC announcement,” he says.
“Following this meeting, the gold price broke-out and entered its transition-phase towards the next consolidation level.
“Today we find the gold price similarly perched at the upper edge of its consolidation range with an important FOMC meeting 13 trading days away.
“Like in June 2019, this meeting could very well be the event that catalyses gold’s breakout move higher…”
